Terms of Service (Beta – DAAP / Open Infrastructure Edition)

These Developer & API Terms of Service (“Developer Terms”) govern access to and use of Nquist’s developer-facing materials, including but not limited to software repositories, APIs, SDKs, documentation, white papers, and associated technical resources (collectively, the “Developer Resources”).
Developer Resources may include implementations, reference tools, and supporting materials related to the Digital Audio Assets Protocol (DAAP), including in-session utilities, asset preparation workflows, and associated infrastructure concepts.
By accessing, downloading, cloning, integrating, or otherwise using Developer Resources, you agree to these Developer Terms.
1. Scope of Developer Resources
The Developer Resources are provided for:

Evaluation and technical exploration

Integration prototyping and testing
-
Research, validation, and standards discussion
-
Contribution and feedback within an open development context
These resources may include code released under open-source licenses (including Apache License 2.0), as well as documentation and technical specifications that define the intended structure and behavior of DAAP-aligned systems.
The availability of source code or documentation does not constitute a production-ready system, commercial offering, or guaranteed support environment.
2. Open Source Licensing & Repository Use
Certain components of the Developer Resources are made available under the Apache License 2.0 (the “Open License”).
Under the Open License, you are permitted to:

Use, modify, and distribute the code in accordance with the license terms

Incorporate the code into your own systems, subject to compliance with license obligations
-
Create derivative works or integrations
However:
-
The Open License applies only to the code explicitly released under that license
-
All other materials (including trademarks, branding, and certain documentation) remain proprietary unless explicitly stated otherwise
-
No additional rights are granted beyond those defined in the applicable license
Use of the Open License does not create any partnership, joint venture, or endorsement relationship with Nquist.
3. Experimental Status & Non-Production Use
All Developer Resources are provided in beta or experimental form.
You acknowledge that:

APIs, schemas, and data structures may change without notice

Code may be incomplete, unstable, or non-performant
-
Reference implementations may not reflect final system architecture
-
Backward compatibility is not guaranteed
Developer Resources must not be relied upon for:

Production deployment
-
Commercial distribution pipelines
-
Rights management or licensing enforcement
-
Archival or compliance-critical systems
Use in such contexts is at your own risk.
4. DAAP Specification & Implementation Boundaries
The Digital Audio Assets Protocol (DAAP) defines a framework for:

Asset identity
-
Attribution and contributor structure
-
Lineage and derivation tracking
-
Manifest-based verification
However, you expressly acknowledge:
-
DAAP does not adjudicate ownership, authorship, or rights
-
DAAP does not validate the legal accuracy of submitted data
-
DAAP does not enforce licensing or access control
-
DAAP is not a DRM system
Implementations derived from DAAP must not be represented as:
-
Legal authorities on ownership or rights
-
Certified or officially validated industry systems
-
Enforced compliance frameworks
DAAP provides a structural and cryptographic framework—not a legal or regulatory system.
5. API Usage & Integration Responsibility
Where APIs or integration interfaces are made available, you are responsible for:

Ensuring that all data submitted through the API is authorized and lawful
-
Maintaining the security of any credentials or access tokens
-
Preventing unauthorized access or misuse of your integrations
-
Implementing appropriate safeguards within your own systems
Nquist does not monitor, validate, or control the content transmitted through developer integrations.
You assume full responsibility for all activity conducted through your use of Developer Resources.
6. User Data, Session Data, and System Interaction
Certain Developer Resources may interact with:

Digital audio workstation (DAW) session data

Plugin and toolchain information
-
Project structure and metadata
-
Asset preparation workflows
You acknowledge that:

These interactions are structural and observational in nature
-
Outputs are derived from system state at time of capture
-
No guarantee is made regarding completeness or accuracy
You are solely responsible for:
-
Ensuring that you have rights to any data processed
-
Preventing exposure of sensitive or proprietary information
-
Managing how such data is stored, transmitted, or used within your own systems
7. No Rights Transfer or Ownership Claims
Use of Developer Resources does not transfer ownership of:

Audio content
-
Session data
-
Metadata or attribution information
-
Any associated intellectual property
Nquist does not claim ownership over developer-created implementations or user-processed materials.
However, Nquist also does not validate or guarantee ownership claims associated with any data processed through DAAP-aligned systems.
8. Contributions & Feedback
If you contribute code, feedback, or other materials:

You grant Nquist a non-exclusive, royalty-free, perpetual right to use such contributions
-
Contributions may be incorporated into future versions of Developer Resources
-
No compensation is provided for contributions unless explicitly agreed in writing
All contributions must comply with applicable licensing and intellectual property laws.
9. Interoperability & Third-Party Systems
Developer Resources may reference or integrate with third-party systems, including:

DAWs (e.g., REAPER, Pro Tools, Logic)
-
Streaming platforms
-
Distribution infrastructure
Nquist does not guarantee:
-
Compatibility with any third-party system
-
Stability across environments
-
Continued support for specific integrations
All third-party interactions are at your own risk.
10. Prohibited Use
You agree not to:

Use Developer Resources to assert or litigate ownership claims
-
Misrepresent DAAP outputs as legally authoritative
-
Deploy experimental systems as production infrastructure without disclosure
-
Reverse engineer systems beyond what is permitted under applicable licenses
-
Use Developer Resources for unlawful or unauthorized purposes
11. No Warranties
Developer Resources are provided “as is” without warranties of any kind.
Nquist disclaims all warranties, including:

Accuracy
-
Reliability
-
Fitness for a particular purpose
-
Non-infringement
12. Limitation of Liability
To the maximum extent permitted by law, Nquist is not liable for:

Loss of data or system integrity
-
Integration failures or incompatibilities
-
Misuse of Developer Resources
-
Any indirect, incidental, or consequential damages
Your sole remedy is to discontinue use.
13. Future Commercial Licensing
Future offerings may include:

Production-grade APIs
-
Licensed SDKs
-
Enterprise integrations
-
Infrastructure services
Such offerings will be governed by separate commercial agreements.
Use of current Developer Resources does not grant access to future commercial systems.
14. No Standard or Regulatory Status
DAAP and associated Developer Resources:

Do not constitute an industry standard
-
Are not certified by any regulatory body
-
Are subject to change without notice
15. Governing Law
These Developer Terms are governed by the laws of the State of California.
